Terms of Service

1. Acceptance of Terms

By executing a Statement of Work (SOW), issuing a Purchase Order (PO), or utilizing our digital engineering deliverables, the client ("Client") agrees to be legally bound by these Terms of Service, along with any project-specific Master Service Agreements (MSAs).

2. Scope of BIM & Digital Engineering Services

VIRCORA provides professional Building Information Modeling and AEC engineering support services, including:

• Architectural, Structural, and MEP 3D BIM modeling (LOD 100 through LOD 500).
• Multidisciplinary clash detection, spatial coordination, and clash resolution reporting.
• Scan to BIM conversion from point cloud laser scan datasets (.e57, .rcp).
• 4D construction sequence animation and 5D quantity takeoff extraction.
• Revit API automation script development and BIM execution plan (BEP) consulting.

Specific project scope, Level of Development (LOD) requirements, file formats, and delivery timelines are defined in individual project SOWs.

3. Client Responsibilities & Input Data Quality

Timely and accurate completion of BIM deliverables depends upon the Client providing authoritative input documentation. The Client agrees to:

• Supply complete, legible architectural drawings, structural calculations, MEP schematics, or point cloud files at project kickoff.
• Designate a primary BIM Manager or Project Lead responsible for timely approval of RFIs and coordination decisions.
• Notify VIRCORA immediately of design changes or revisions to underlying design specifications.

4. Intellectual Property & Deliverables Ownership

Upon full and final payment of all invoice balances for a specific engagement, VIRCORA transfers full operational ownership of the final 3D BIM models (.rvt, .ifc) and 2D CAD shop drawings to the Client.

VIRCORA retains ownership of pre-existing proprietary Revit families, custom Dynamo scripts, Revit API add-ins, macro code libraries, and internal quality audit templates utilized during model creation.

5. Revision Protocols & Scope Management

Project quotations include a defined number of review cycles as specified in the SOW. Major design modifications, scope additions, or fundamental layout revisions requested after model freeze or client approval will be managed via formal Change Orders with associated fee and schedule adjustments.

6. Payment Terms & Invoicing

Invoices are issued according to contractually agreed project milestones. Standard payment terms are Net 30 days from the invoice date, unless otherwise negotiated under signed Enterprise MSAs. Outstanding balances beyond due dates may incur late payment charges as permitted by applicable commercial laws.

7. Limitation of Liability

VIRCORA maintains Professional Indemnity and Errors & Omissions insurance. VIRCORA's total aggregate financial liability arising out of or related to any engagement shall not exceed the total professional fees paid by the Client for the specific project statement of work giving rise to the claim.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be resolved through good-faith executive negotiation, followed by binding arbitration in Visakhapatnam, Andhra Pradesh, India.
